At the type locality, the Dayton meteorite, Montgomery County, Ohio, USA, panethite is a very rare mineral in phosphate nodules in the iron meteorite. Associated minerals include brianite, whitlockite, albite, enstatite, schreibersite, kamacite, taenite, graphite, sphalerite and troilite (HOM, Mindat).
